Depois de uma corrida para lançar fundos antes de as novas regras da Comissão de Valores Mobiliários (CVM) entrarem em vigor, em outubro, os primeiros produtos começaram a chegar ao mercado. Ao mesmo tempo, gestores e administradores se concentram na adaptação às normas recentes. O principal foco de atenção está nos novos acordos operacionais entre gestores e administradores e na adaptação no estoque dos Fundos de Investimentos em Direitos Creditórios (FIDCs), que devem estar preparados em abril.
Um levantamento da Anbima feito a pedido do Valor mostra que, entre 2 de outubro e 17 de novembro, foram lançados 56 fundos novos, de diversos segmentos.
As regras começaram a valer a partir de 2 de outubro de 2023, e a implementação completa se dará de forma faseada até o fim de 2024. Desde o início, estão em vigor, por exemplo, as novas definições de responsabilidades dos prestadores de serviços.
Com a resolução, não há mais hierarquia entre gestores e administradores, que agora passam a ser chamados de prestadores de serviços essenciais. A regra dividiu de forma mais ponderada o papel de cada um. Isso vai demandar um novo acordo operacional entre eles, algo que está sendo analisado no momento por toda a indústria.
Na Oliveira Trust (OT), ainda não há definição sobre como os acordos serão estruturados. Enquanto administrador fiduciário, o desejo da empresa é criar um contrato que seja comum a todas as gestoras, mas há casas que preferem um documento customizado. A ideia é concluir as negociações ainda em 2023, fechar os contratos no próximo ano e submeter os acordos às assembleias de cotistas, segundo o diretor presidente da empresa, José Alexandre Freitas. A OT tem R$ 170 bilhões sob administração e custódia, divididos em cerca de 200 fundos. Segundo Freitas, boa parte do mercado ainda está se preparando. Há gestoras que estão contratando sistemas de outras casas, o que é visto como natural.
“As discussões sobre os acordos operacionais estão em curso. Estamos analisando as minutas, se estão aderentes ao que o administrador quer e ao que nós queremos. Os acordos anteriores eram mais simples, a responsabilidade dos gestores era mais limitada”, diz a diretora de operações da Perfin, Carolina Rocha. Recentemente, a gestora anunciou que planeja levantar R$ 2 bilhões junto a investidores brasileiros para ampliar sua atuação no setor de infraestrutura, já dentro das regras da resolução 175.
Com cerca de 90 fundos, a Perfin trabalha com três administradores diferentes. Depois do fundo de infraestrutura, a próxima fase será focar na adaptação dos produtos existentes. “Do lado de infraestrutura, o ponto mais sensível é a responsabilidade limitada. Provavelmente vamos caminhar para isso”, afirma. A legislação abriu a possibilidade de limitar a responsabilidade de cada cotista ao valor de suas participações.
“A relação entre o gestor e o administrador foi inteiramente transformada. A norma passou a referir o que já era uma realidade na prática, mas do ponto de vista regulatório as responsabilidades eram do administrador. Agora, o gestor está de fato se sentando à mesa com o administrador de maneira igualitária, mas é um processo de aprendizagem”, afirma a advogada Catarina Pereira, sócia do Barbosa Sociedade de Advogados.
Outro foco da indústria neste momento é a adaptação dos FIDCs. Os fundos de direitos creditórios serão os primeiros a terem que adaptar todo o estoque, a partir de 1º de abril de 2024. Mesmo que não represente nem 10% da indústria, o segmento é o que vai exigir as mudanças mais complexas.
Com 18 FIDCs, a Buriti Investimentos diz que está pronta há alguns meses para as mudanças. “Começamos a ver muitas ‘dores’ que dificultavam o dia a dia e criamos um portal para ser um facilitador e oferecer mais transparência”, diz o sócio da gestora, Marcelo Varejão. Pelas novas regras da CVM para os FIDCs, é o gestor que deverá verificar o lastro de entrada dos ativos nos fundos. Por meio do portal, o cliente da Buriti terá o controle do lastro.
“A 175 impõe mais controles e agora isso está muito claro. Antes, a responsabilidade ficava toda com o administrador. Agora, o gestor assume esse protagonismo desde a estruturação dos fundos”, afirma Varejão. A Buriti planeja lançar pelo menos três novos FIDCs. Entre as novidades permitidas pela CVM está a distribuição de fundos de direitos creditórios para o varejo. “É algo que em algum momento vai acontecer, mas a curva de aprendizado é um pouco mais longa”, diz o gestor.
“Temos boa relação com os administradores com os quais trabalhamos, fazemos reuniões com eles desde o início de vigência da norma. O objetivo é entender as preocupações de cada um”, afirma a diretora de produtos e operações da Empírica, Paola Vaz. A Empírica tem pouco mais de R$ 9 bilhões sob gestão e cerca de 80% são FIDCs. Há planos para lançar novos fundos até o fim do ano.
A Reag lançou seis fundos desde que a norma entrou em vigor, entre FIDCs, multimercados e fundos de participações, segundo o sócio Silvano Gersztel. Ao longo de 2024, a Reag vai buscar casar as adaptações de fundos que precisam ser aprovadas pelos cotistas em assembleias já previstas, priorizando os FIDCs. “Havia receio do mercado que a adaptação à 175 fosse difícil, e certamente é, mas o mercado de capitais brasileiro tem uma dinâmica forte”, afirma Gersztel.
Apesar da lista de produtos para serem lançados no mercado, ainda não há inovações do ponto de vista de estruturação dos fundos, diz Freitas, da OT. “Queremos ver fundos com várias segmentações de patrimônio. Já houve propostas de casas grandes para fundos de varejo, mas ainda não há nenhum em estruturação.”
“A adaptação dos FIDCs não é trivial e terá ajustes operacionais importantes. Já iniciamos as discussões”, diz o sócio da Vórtx Osnei Gomes. Na Vórtx, os estruturados são maioria entre os fundos sob administração. Além dos FIDCs, há fundos de investimento em participação e fundos imobiliários.
Depois da adaptação dos FIDCs, a dos estoques dos fundos de investimentos financeiros (FIFs, os antigos “fundos 555”), fundos de private equity (FIPs), de índices (ETFs) e imobiliários deverá ser feita até o fim de 2024. Apesar do volume maior, os ajustes tendem a ser menos complexos.
Entre as flexibilizações da nova regra estão as dos fundos que investem no exterior. Antes da 175, os fundos para varejo tinham um limite de 20% e, para os investidores qualificados, de até 40%. Agora, poderão chegar a 100%, para qualquer um destes públicos. Para isso, os fundos existentes precisarão se adaptar.
No BTG, os fundos devem estar prontos até o início de 2024, estima Will Landers, que lidera a área de “third party distribution” do banco, responsável pela distribuição de produtos de terceiros. “Representamos gestores estrangeiros nos mercados locais. São 12 gestoras que têm fundos ‘feeders’ e até pouco tempo a distribuição era só para investidores qualificados. Com as mudanças da 175, eles ficarão disponíveis para todo o mercado de varejo”, diz.
